    1. Acceptance of Terms

    By accessing or using the Aligno website, services, APIs or applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use the Service.

    2. Eligibility; Accounts

    You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to:

    • Provide accurate, complete and up-to-date registration information;
    • Maintain and promptly update your account information;
    • Keep your password and account credentials secure;
    • Be solely responsible for all activity that occurs under your account.

    3. License Grant

    Subject to your compliance with these Terms, Aligno grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

    4. Fees and Payment

    If you purchase any paid features or subscriptions, you agree to pay all applicable fees in advance according to the pricing plan then in effect. All fees are non-refundable except as required by law. We reserve the right to change fees at any time; material changes will be communicated at least 30 days before taking effect.

    5. User Content

    You retain all rights in content you upload, submit or generate via the Service ("Your Content"). You grant Aligno a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display Your Content solely to provide and improve the Service. You represent and warrant that you own or control all rights in Your Content and that its use does not violate any law or third-party right.

    6. Prohibited Conduct

    You agree not to:

    • Use the Service for any unlawful purpose;
    • Infringe the intellectual property or privacy rights of others;
    • Attempt to reverse engineer, disrupt or overload the Service;
    • Upload viruses or malicious code;
    • Scrape or harvest data except via our published APIs.

    7. Intellectual Property

    All intellectual property rights in the Service (including software, designs, text, images, and trademarks) are owned by Aligno or its licensors. Except for the license expressly granted above, nothing in these Terms gives you any rights in the Service.

    8. Disclaimers

    THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. ALIGNO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALIGNO DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

    9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ALIGNO NOR ITS OFFICERS, DIRECTORS OR EMPLOYEES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE. IN NO EVENT WILL ALIGNO'S AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY YOU TO ALIGNO IN THE SIX MONTHS PRECEDING THE CLAIM.

    10. Indemnification

    You agree to defend, indemnify, and hold harmless Aligno and its affiliates, officers, directors and employees from any claim, liability, loss, damage or expense (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) Your Content, or (c) your use of the Service.

    11. Termination

    We may suspend or terminate your account and access to the Service at any time for any reason, with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease and you must stop all use of the Service.

    12. Governing Law & Dispute Resolution

    These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any dispute arising under or relating to these Terms will be resolved exclusively in the federal or state courts located in King County, Washington.

    13. Changes to Terms

    We may modify these Terms at any time. If changes are material, we will notify you by email or via the Service before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
